limited partner and the control rule
A limited partner keeps limited liability only while staying out of day-to-day control; one who acts like a general partner can be liable to a third party who reasonably believed, from that conduct, that she was a general partner. Voting on major matters, working as an employee or serving as an officer of a corporate general partner does not count.

ExamplesEjemplos
- A limited partner who signs supplier contracts in her own name invites personal liability.
