reasonable expectations (of a minority owner)

The test many courts use for oppression: whether the majority defeated what the minority reasonably expected from owning the interest (a job, a board seat, dividends, a say). Texas rejected this test in Ritchie v. Rupe and left the minority with the statutory receivership remedy.

ExamplesEjemplos

  • Being frozen out of a salaried job he had held for ten years defeated the minority owner's reasonable expectations.
